REX RESOURCES ANNOUNCES PRIVATE PLACEMENT

Rex Resources Corp. intends to complete a non-brokered private placement of up to five million units at a price of five cents per unit for gross proceeds of up to $250,000. Each unit consists of one common share in the capital of the company and one-half of one common share purchase warrant. Each warrant entitles the holder to acquire one share at a price of 7.5 cents per share for a period of 24 months from the closing date of the private placement.

The private placement is subject to exchange approval and all securities issued will be subject to a standard holder period of four months and one day. Finders' fees may be payable in connection with the private placement, all in accordance with the policies of the exchange and applicable securities laws.

The company expects to use the net proceeds from the private placement for general working capital purposes.
