The TSX Venture Exchange has accepted for filing documents relating to a securities exchange agreement dated May 18, 2023, between Rex Resources Corp., an arm's-length party (hereinafter referred to as Subco) and the sole shareholder of Subco (the seller). Pursuant to the agreement, the company will purchase and acquire all of the issued and outstanding common shares in the capital of Subco from the seller. Subco, through an assignment by the seller to Subco, owns eight contiguous mineral claims totalling approximately 1,562 hectares located near Port Alberni, B.C., and generally known as the Rex property. Consideration is $175,000 cash and the issuance of one million common shares of the company to the seller at a deemed price of five cents per share. The transaction is arm's length in nature and there is no finder's fee payable.
