OLIVIER ANNOUNCES AMENDMENTS TO TSXV REACTIVATION
Olivier Ventures Inc. has extended its non-brokered private placement, the terms of which are detailed in the company's news release dated Aug. 12, 2026, being carried out in connection with its reactivation plan.
As announced in the prior release, the offering consists of up to 2,222,222 flow-through units at a price of nine cents per flow-through unit for gross proceeds of $200,000. The flow-through units will consist of one flow-through share and one-half of one common share purchase warrant of the company. Each whole flow-through warrant will be exercisable to purchase one non-flow-through common share of the company at a price of 12 cents for a term of one year from the closing date. The offering will continue to include up to 3.75 million non-flow-through units at a price of eight cents for gross proceeds of $300,000. Each non-flow-through unit will consist of one common share and one whole share purchase warrant, with each non-flow-through warrant exercisable for one additional common share of the company at a price of 10 cents for a period of two years from the date of issue.
All common shares (flow-through or not) and all warrants issued in conjunction with the offering will be subject to a hold period of four months and one day from their date of issuance. The company may pay finders' fees in connection with the issuance of all flow-through and non-flow-through units, which will be in accordance with any restrictions imposed by the TSX Venture Exchange.
Closing of the offering is subject to the approval of the TSX-V in connection with its previously announced plan to graduate from NEX to Tier 2 of the TSX-V.
