OCUMETICS ANNOUNCES COMPLETION OF THIRD AND FINAL TRANCHE OF UNIT PRIVATE PLACEMENT

Ocumetics Technology Corp. has completed the third and final tranche of the private placement previously announced by the corporation on July 7, July 29, July 30, 2026, and July 31, 2026.

The corporation has issued an additional 405,000 units at a price of 40 cents per unit for aggregate gross proceeds of $162,000. Each unit consists of one common share in the share capital of the corporation and one common share purchase warrant. Each warrant entitles the holder to purchase one additional common share at an exercise price of 50 cents for a period of three years from the date of issuance of the warrant.

The corporation raised an aggregate of $3,110,130 in gross proceeds under the offering.

"We are extremely excited to have achieved our financing target, which is an important milestone for Ocumetics and our shareholders," said Dean Burns, president and chief executive officer of Ocumetics. "The strong support from the investment community reflects growing confidence in the potential of our accommodating intraocular lens and the progress we are making toward bringing this technology to patients."

"This financing puts us in a strong position to execute on the next important steps in our clinical and regulatory program," adds Mr. Burns. "It provides the funding needed to complete our group two first-in-human surgeries in Mexico City this fall and to continue preparations for our FDA IDE application, targeted for early 2027. For our shareholders, this is an important step forward as we move the Ocumetics lens closer to the U.S. clinical pathway and, ultimately, the potential market."

In consideration for the assistance of Canaccord Genuity Corp. in finding subscribers for third tranche of the offering, the corporation paid Canaccord cash commissions of $5,920 and issued 14,800 warrants.

The warrants are subject to an acceleration clause such that if the volume-weighted average trading price of the common shares on the TSX Venture Exchange is at least 75 cents per common share for a period of 30 consecutive trading days, the expiry date of such warrants may be accelerated by the corporation to a date that is not less than 30 days after the date that notice of such acceleration is provided to the warrant holders by way of a press release.

Net proceeds of the offering are expected to be used to finance the corporation's continuing first in-human clinical trials, for continuing research and development, and for general working capital. Although the corporation intends to use the proceeds of the offering as described above, the actual allocation of proceeds may vary from the uses set out above, depending upon future operations, events or opportunities.

The common shares and warrants are subject to a hold period of four months and one day from the date of issuance provided that any warrants that were issued to Finders are non-transferrable.

Closing of the offering was subject to the conditional approval from the TSX Venture Exchange, which was obtained.
