(CSE: ORNG , OTCQB: ORGEF , FSE: A1S0 ) (“ Oregen ” or the “ Company ”) is pleased to announce that it has filed its unaudited condensed interim consolidated financial statements and accompanying Management’s Discussion and Analysis (MD&A) for the period ending June 30, 2026.

Q2 & First Half 2026 Highlights:

 
  • Leadership Transition Board Evolution: The Company bolstered its leadership bench with the appointments of energy industry executive David French and corporate and government strategist Michael Simpson to the Board of Directors, supported by the addition of Phil Birch as senior strategic advisor. Kevin Shrimpton has stepped into the role of Interim Chief Executive Officer bringing more than 30 years of upstream oil and gas experience to the company.  

  • Significant Reduction in Operating Expenses: For the three months ended June 30, 2026, total operating expenses decreased by 85% to $163,607, down from $1,102,151 in Q2 2025. Operating expenses for the first six months fell 67% to $532,479 compared to $1,608,314 during the prior-year period.  

  • Material Decrease in Net Loss: Comprehensive net loss for Q2 2026 was reduced by 68% to $363,688 ($0.01 per share), compared to $1,141,804 ($0.04 per share) in Q2 2025. For the six-month period, net loss decreased by 49% to $833,835 against $1,645,963 in the prior period.  

  • Overhead Discipline: The Company achieved substantial year-over-year cost rationalization across multiple operational lines, driven by the internalization of corporate management functions and lower advisory transaction overhead following the acquisitions of NamLith and Oranam.  

  • High-Impact Orange Basin Asset Exposure: Oregen maintains a 48.5% equity stake in WestOil Limited, which holds a 70% working interest (33.95% net to Oregen) in Block 2712A (PEL 107) in offshore Namibia’s prolific Orange Basin, located adjacent to major international discoveries by Galp, TotalEnergies, Shell, and Rhino/BP-ENI.  

  • Expanding Footprint with Block 2812Ab Agreement: Building on its core holding in Block 2712A, the Company entered into a non-binding Letter of Intent framework to evaluate a strategic investment in Petrovena Energy (Pty) Ltd. The LOI represents a major milestone for Oregen and further advances the Company’s strategy to build a concentrated Orange Basin portfolio with exposure to multiple high-impact catalysts.
