The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced May 12, 2023.

Number of shares:  2,180,862 critical minerals flow-through shares, 9,504,855 flow-through shares and 5,172,860 common shares

Purchase price:  24.8 cents per critical minerals flow-through share, 21.5 cents per flow-through share and 13.05 cents per common share

Warrants:  8,429,290 share purchase warrants to purchase 8,429,290 shares

Warrant exercise price:  22 cents for a period of two years

Number of placees:  25 placees

Total existing insider involvement:  4,945,785 (six insiders)

Total pro group involvement:  1,973,258 (five pro groups)

Finder's fee:  $48,276 cash and 333,794 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 22 cents for period of two years from the date of issuance.

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
