ORIGEN ANNOUNCES CLOSING OF FINANCING

Origen Resources Inc. has closed its non-brokered private placement, previously announced on April 2, 2026, raising a total of $500,000.

The company issued 10 million units at a price of five cents per unit for gross proceeds of $500,000. Each unit is composed of one share and one-half share purchase warrant. Each warrant entitles the holder to acquire one additional share in the capital of the company at a price of 7.5 cents per share for a period of 18 months from the date of issuance. The company paid no finders' fees in connection with this financing. One placee subscribed for the full amount of the offering resulting in the placee exceeding 10-per-cent ownership in the company and becoming an insider.

All securities issued in connection with the financing were issued pursuant to one or more prospectus exemptions available to the company, and are subject to a statutory hold period of four months and one day from the date of issuance as required under applicable securities laws. Closing of this financing was subject to customary closing conditions that include applicable Canadian Securities Exchange filings and approvals. The proceeds of the offering will be used for the company's newly acquired rare earth element project areas in Piaui state, Brazil, general working capital and exploration expenditures.
