ORACLE COMMODITY HOLDING ANNOUNCES A $250,000 PRIVATE PLACEMENT

Oracle Commodity Holding Corp. intends to complete a non-brokered private placement financing of up to five million units at a price of five cents per unit for gross proceeds of $250,000, subject to acceptance by the TSX Venture Exchange. Each unit consists of one common share and one transferable common share purchase warrant of the company. Each warrant entitles the holder to acquire one additional common share of the company at an exercise price of six cents for a period of three years from issuance. The gross proceeds will be used for general corporate purposes and continuing working capital.

The private placement is subject to TSX-V approval. All shares issued pursuant to the private placement and any shares issued upon exercise of the warrants will be subject to a statutory hold period of four months and one day from the date of issuance in accordance with applicable securities laws and the policies of the TSX-V.

No finders' fees are payable in connection with the private placement.

It is anticipated that an insider of the company, John Lee, will subscribe for up to four million units for gross proceeds of $200,000. The issuance of units to the insider is considered a related party transaction within the meaning of Multilateral Instrument 61-101, Protection of Minority Security Holders in Special Transactions. The company intends to rely on the exemptions from the formal valuation and minority shareholder approval requirements of MI 61-101 pursuant to sections 5.5(a) and 5.7(1)(a) as the fair market value of the insider's participation in the private placement does not exceed 25 per cent of the company's market capitalization. The private placement will not result in the creation of a new control person of the company and the company is not aware of any undisclosed material information.
