ONCO-INNOVATIONS ANNOUNCES CLOSING OF PRIVATE PLACEMENT

Onco-Innovations Ltd. has closed its previously announced (see the announcement news release dated Jan. 23, 2026, and the news release announcing the amendment to the non-brokered private placement dated Feb. 12, 2026) non-brokered private placement, issuing 1.87 million units of the company at a price of 65 cents per unit for aggregate gross proceeds of $1,215,500. Each unit is composed of one common share and one common share purchase warrant, with each warrant entitling the holder to purchase one share at a price of 75 cents for a period of three years, such date being March 12, 2029.

The proceeds from the private placement will be used for general corporate and working capital purposes, including in pursuit of the company's operational, research and development, and investor relations objectives.

The company has also issued 18,700 shares of the company to an arm's-length third party in consideration for administrative services rendered in connection with the private placement.

Pursuant to applicable securities laws, all securities issued in connection with the private placement will be subject to a statutory hold period of four months and one day.
