OLYMPIA FINANCIAL GROUP INC. ANNOUNCES RECEIPT OF FINAL ORDER AND SHAREHOLDER APPROVAL FOR PLAN OF ARRANGEMENT

The Supreme Court of British Columbia has granted the final order in connection with the previously announced plan of arrangement in accordance with Section 288 of the Business Corporations Act (British Columbia), pursuant to which existing management agreements of Olympia Financial Group Inc. and Olympia Trust Company (OTC) with Tarman ATM Inc. and certain members of senior management will be terminated in exchange for cash or a combination of cash and common shares of the corporation.

Prior to the final order, Olympia's shareholders approved the transaction at an annual and special meeting of the corporation held on Aug. 24, 2026. Detailed voting results for the special resolution approving the transaction and other matters considered at the meeting are available on SEDAR+.

Notwithstanding that the final order and shareholder approval in respect of the transaction have been obtained, the transaction remains subject to the satisfaction or waiver of further conditions, including the receipt of third party debt financing and approval from the Minister of Finance (Alberta) pursuant to the Loan and Trust Corporations Act (Alberta) pursuant to the terms of the reorganization agreement entered into on July 15, 2026, among Olympia, OTC, Tarman and the members of senior management participating in the transaction.
