ONENERGY INC. ANNOUNCES RESULTS OF 2025 ANNUAL GENERAL AND SPECIAL MEETING OF SHAREHOLDERS

ONEnergy Inc. has released the results of its annual general and special meeting of shareholders, held on July 16, 2025.

A total of 95,330,371 common shares, representing approximately 64.3 per cent of the issued and outstanding common shares as of the record date for the meeting, were represented in person or by proxy at the meeting.

Election of directors

Each of the nominees named in the attached table was elected as a director of the company.

Appointment of the auditor

Rice & Company LLP was appointed as the auditor of the company until the close of the next annual meeting of shareholders.

Votes for:  95,149,326 (99.81 per cent)

Votes withheld:  181,045 (0.19 per cent)

Continuance resolution

The continuance resolution, as defined in the management information circular dated June 13, 2025, and filed on SEDAR+ on June 18, 2025, was approved with at least two-thirds of the votes cast at the meeting in favour of the continuance resolution.

Votes for:  94,171,469 (98.78 per cent)

Votes against:  1,158,902 (1.22 per cent)

Omnibus plan resolution

The omnibus plan resolution, as defined in the circular, was approved with the majority of the votes cast at the meeting in favour of the omnibus plan resolution.

Votes for:  94,768,488 (99.41 per cent)

Votes against:  561,883 (0.59 per cent)

Debt settlement resolution

The debt settlement resolution, as defined in the circular, was approved with the majority of the votes cast by disinterested shareholders at the meeting in favour of the debt settlement resolution.

Votes by disinterested shareholders for:  4,201,668 (88.21 per cent)

Votes by disinterested shareholders against:  561,383 (11.79 per cent)

Consolidation resolution

The consolidation resolution, as defined in the circular, was approved with the majority of the votes cast at the meeting in favour of the consolidation resolution.

Votes for:  94,529,597 (99.16 per cent)

Votes against:  800,774 (0.84 per cent)
