The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Feb. 20, 2024.

Number of shares:  2.57 million common shares

Purchase price:  40 cents per common share

Warrants:  2.57 million share purchase warrants to purchase 2.57 million shares

Warrant exercise price:  65 cents for an 18-month period

Number of placees:  three placees

Finder's fee:  75,000 shares

The company issued a news release on Feb. 20, 2024, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
