Oa Capital completes $200,000 initial public offering

OA CAPITAL CORP. COMPLETES INITIAL PUBLIC OFFERING AND LISTING ON THE TSXV EXCHANGE

Oa Capital Corp. has completed its initial public offering (the IPO) of two million common shares at a price of 10 cents per share for gross proceeds of $200,000.

Canaccord Genuity Corp. and the subagents have been paid a cash commission equal to 10 per cent of the gross proceeds from the sale of the common shares pursuant to the IPO, together with a cash administrative fee. Additionally, the company has granted non-transferrable warrants to the agents entitling the agents to purchase up to 200,000 shares at an exercise price of 10 cents per share, exercisable on or before Jan. 9, 2029.

Concurrently with the closing of the IPO, the company completed a non-brokered private placement. The company issued 10,000 shares for total gross proceeds of $1,000. The shares issued pursuant to the completion the financing are subject to a hold period until May 10, 2024.

With the closing of the IPO and the financing, the company currently has a total of 4.51 million shares issued and outstanding. Finally, the company has granted incentive stock options to its board of directors allowing the purchase of a total of 451,000 common shares. The options are exercisable at a price of 10 cents per common shares for a term of five years from the date of grant. The options have been granted under and are governed by the terms of the company's incentive stock option plan.

The company's shares are listed on the TSX Venture Exchange and will begin trading on the TSX-V under the symbol OAC.P on Jan. 11, 2024.
