Oa Capital Corp.'s capital pool company (CPC) prospectus dated Oct. 27, 2023, has been filed with and accepted by the TSX Venture Exchange and the British Columbia and Alberta securities commissions, effective Oct. 30, 2023, pursuant to the provisions of the relevant Securities Act and Multilateral Instrument 11-102, Passport System. The common shares of the company will be listed on the TSX Venture Exchange and immediately halted on the effective date stated below.

The company will complete its initial distribution of securities to the public on Jan. 9, 2024. The gross proceeds to be received by the company for the public offering will be $200,000 (two million common shares at 10 cents per share). In addition, the company will conduct a private placement raising $1,000 (10,000 common shares at 10 cents per share).

Commence date:  At the market open on Tuesday, Jan. 9, 2024, the common shares will be listed and immediately halted from trading on the TSX Venture Exchange.

The closing of the public offering is scheduled to occur on Jan. 9, 2024. A further notice will be published upon the confirmation of closing and the trading halt will be lifted.
