NEXCO RESOURCES INC. ANNOUNCES CLOSE OF PRIVATE PLACEMENT
Further to Nexco Resources Inc.'s press releases dated March 2, 2026, and July 27, 2026, it has closed its previously announced financing through the issuance of 16.76 million common shares of the company at a price of one cent per share, for gross proceeds of $167,600.
In connection with the financing, the company paid an aggregate of $11,732 in cash finders' fees. The company intends to use the proceeds as set out in the press release dated March 2, 2026. The shares have a hold period of four months and one day from the date of issue and a voluntary lock-up period as further described in the press release dated July 27, 2026.
The financing was completed pursuant to a partial revocation order granted by the British Columbia Securities Commission (the BCSC) on March 26, 2026, in respect of the failure to file cease trade order issued by the BCSC against the company on March 4, 2025 (the FFCTO), as further described in the press release dated March 2, 2026. The shares remain subject to the FFCTO and trading on the CSE remains halted until a full revocation order is obtained. The granting of the partial revocation order does not guarantee that a full revocation order will be issued in the future.
