John Watson Files Early Warning Report

Acquisition

VANCOUVER, August 25, 2026 - John Watson (the "Acquiror") announces that effective on August 20, 2026, he acquired ownership of 900,000 common shares (each, a "Share") of NV Gold Corporation (the "Company") on exercise of share purchase warrants (each, a "Warrant") at $0.30 per Warrant for proceeds of $270,000 (the "Transaction").

Prior to the Transaction, the Acquiror directly and indirectly owned and controlled an aggregate of:

16,311,791 Shares,

70,000 Shares issuable on exercise of stock options, and

8,342,143 Shares issuable on exercise of Warrants,

which represented 50.24% of the 32,469,789 issued and outstanding Shares as of August 19, 2022, the date prior to the issuance of the Shares, on a non-diluted basis. If the Acquiror were to exercise the stock options and the Warrants, the Acquiror would directly and indirectly own and control 24,723,934 Shares or 60.48% of the issued and outstanding Shares calculated on a partially-diluted basis.

Following the Transaction, the Acquiror directly and indirectly owns and controls an aggregate of:

17,211,791 Shares,

70,000 Shares issuable on exercise of stock options, and

7,442,143 Shares issuable on exercise of Warrants,

which represents 51.58% of the 33,369,789 issued and outstanding Shares as of August 20, 2026, the date of the issuance of the Shares, on a non-diluted basis. If the Acquiror were to exercise the stock options and the Warrants, the Acquiror would directly and indirectly own and control 24,723,934 Shares or 60.48% of the issued and outstanding Shares calculated on a partially-diluted basis.

The Acquiror has filed an Early Warning Report pursuant to National Instrument 62-103F1 The Early Warning System and Related Take-Over Bid and Insider Reporting Issues describing the above transactions with the applicable securities regulatory authorities.
