NOVERIS HEALTH SCIENCES ANNOUNCES UPCOMING AGM AND RECORD DATE, AND RECEIPT OF CSE NOTICE

Noveris Health Sciences Inc.'s annual general meeting of shareholders will be held on Sept. 4, 2026, at 1890, 1075 West Georgia St., Vancouver, B.C. The record date for the meeting has been set for July 21, 2026.

At the meeting, shareholders of the company will be asked to consider and, if deemed advisable, approve the following matters:

1. The election of directors of the company for the ensuing year;
2. The appointment of the company's auditor for the ensuing year and authorization of the directors to fix the auditor's remuneration; and
3. Such other business as may properly come before the meeting or any adjournment or postponement thereof.

Further details regarding the matters to be considered at the meeting will be set out in the company's management information circular and related proxy materials, which will be filed under the company's profile on SEDAR+ and made available to shareholders in accordance with applicable securities laws. Shareholders are encouraged to review the meeting materials carefully and to vote their shares in advance of the meeting.

The company also wishes to advise it is on notice that it must demonstrate to the Canadian Securities Exchange that it is meeting continued listing requirements (as outlined in CSE Policy 3.5), and that it will not conduct any investor relations activities until such time. If the company is unable to demonstrate compliance with continued listing requirements by the time it files financial statements for its nine-month period ending Sept. 30, 2026, the CSE has informed the company that the .X inactive designation will be applied to its common shares.
