NORTH VALLEY RESOURCES ANNOUNCES NON-BROKERED PRIVATE PLACEMENT

North Valley Resources Ltd. intends to complete a non-brokered private placement financing of up to 7.5 million common shares of the company at a price of two cents per common share for gross proceeds of up to $150,000.

No commissions or fees are payable in connection with the private placement. The net proceeds of the private placement will be used for general working capital requirements. The private placement is subject to certain conditions, including, without limitation, approval of the Canadian Securities Exchange, and all securities issued under the private placement will be subject to statutory hold periods expiring four months and one day from the date of closing of the private placement pursuant to applicable securities laws and CSE policy. In accordance with the policies of the CSE, shareholders of more than 50 per cent of the common shares must approve the private placement by a written resolution prior to closing.
