--->d office at Level 3, 33 Park Road, Milton, Queensland, Australia (the "Issuer"). The Common Shares were purchased unde
--->r the Issuer's subscription agreement with Metallo and Mawarid Offshore Mining Ltd. ("Mawarid", and together with the 
--->Company, the "Purchasers") dated August 21, 2016, as amended, pursuant to which common shares of the Issuer will be pu
--->rchased by the Purchasers on a private placement basis and will close in tranches, on a monthly basis, during the peri
--->od from December 1, 2016 through November 30, 2017 (the "Financing Period"), at the election of the Issuer. The Issuer
