The TSX Venture Exchange has accepted for filing documentation with respect to the arm's-length acquisition granting to the company the exclusive right and option to acquire up to 87.5 per cent of the right, title and interest of the optionor in and to the property on the terms and conditions outlined in the agreement. By way of consideration, the company will make cash payments totalling $125,000 in the first year and will issue up to 7,483,000 common shares at a deemed price of five cents per share. The remaining consideration is outlined in the schedule detailed in the attached table. On completion of milestone 4, the issuer shall grant the optionor a free carried interest for its remaining 12.5-per-cent interest to the completion of the property's preliminary economic assessment in compliance with National Instrument 43-101, at which point the optionor may elect to:

1. Form a participating joint venture with the optionee;
2. Or convert the optionor's remaining 12.5-per-cent interest in the property into a 1.0-per-cent net smelter return royalty.

There was no finder's fee payable.
