NANALYSIS ANNOUNCES CLOSING OF FULLY SUBSCRIBED NOTE OFFERING
Nanalysis Scientific Corp. has closed its previously announced offering of 12 per cent unsecured promissory notes for aggregate gross proceeds of $2-million. The notes were issued to arm's-length third party investors (the lenders). The notes mature on June 13, 2027, and bear simple interest at a rate of 12 per cent per annum, payable annually within 30 days of the first and second anniversary date of the notes. At the company's option and subject to TSX Venture Exchange approval, the interest may be paid in cash or common shares of the company. The company intends to use the net proceeds from the offering for general corporate purposes and to support continuing business operations.
In connection with the notes, the company has issued 1.6 million common shares of the company to the lenders. The bonus shares represent a value equal to 20 per cent of the principal amount of the notes, calculated based on the market price (as defined by the TSX-V) of 25 cents per bonus share, which was the closing price of the company's common shares on June 5, 2025, prior to the announcement of the offering. The bonus shares are subject to a four-month hold period, expiring Oct. 13, 2025, in accordance with applicable securities legislation.
