Nordique Critical agreement for Kwyjibo project

2026-10-14 21:02 ET - Property Agreement

The TSX Venture Exchange has accepted for filing documentation relating to an option joint venture agreement dated Nov. 17, 2025, as amended Feb. 4, 2026, between Nordique Critical Metals Inc. (formerly Consolidated Lithium Metals Inc.) and SOQUEM Inc., an arm's-length vendor and subsidiary of Investissement Quebec. Pursuant to the terms of the agreement, the company may acquire an undivided interest of up to 80 per cent in the Kwyjibo rare earth project (comprising 81 mining titles covering approximately 4,387.59 hectares), located 125 kilometres northeast of the city of Sept-Iles in the Cote-Nord region of Quebec. The company may acquire a 60-per-cent undivided interest in the property over a five-year period by making total cash payments of $5.65-million, issuing $5.5-million in common shares (up to a maximum of 110 million shares) and incurring $12-million in exploration expenditures. Following the completion of phase I, the company may earn an additional 20-per-cent undivided interest in the property, bringing its total interest to 80 per cent, over a three-year period, by making total cash payments of $4.5-million, issuing $4.5-million in common shares (up to a maximum of 90 million shares) and incurring $13-million in exploration expenditures. In the event that the market price of the common shares on a scheduled issuance date is less than five cents, or if an issuance would result in the vendor holding 10 per cent or more of the company's issued and outstanding common shares, no shares shall be issued, and the company will perform its payment obligations in cash. Any issuance resulting in the vendor holding 10 per cent (on an undiluted basis) or more requires prior written exchange approval. Additionally, the company holds an option to negotiate to earn an additional 20-per-cent undivided interest in the property, bringing its total interest to 100 per cent. The property remains subject to an underlying 1.5-per-cent net smelter return (NSR) royalty in favour of the Iron Ore Company of Canada.

The transaction is arm's length in nature and no finders' fees are payable.
