NEPRA FOODS ANNOUNCES CLOSING OF FIRST TRANCHE OF A NON-BROKERED PRIVATE PLACEMENT

Nepra Foods Inc. has closed the first tranche of its previously announced non-brokered private placement. The offering consisted of 12,201,100 units of the company at five cents per unit for aggregate gross proceeds of $610,055.

Each unit consists of one common share in the capital of the company and one common share purchase warrant. Each warrant entitles the holder thereof to acquire one additional share at an exercise price of 10 cents per warrant share until Sept. 28, 2025.

Proceeds from the offering will be used for general corporate and working capital purposes.

The securities issued pursuant to the offering are subject to a four-month hold period ending on Jan. 29, 2024, under applicable Canadian securities laws.
