NOWVERTICAL ANNOUNCES RELEASE OF UNITS FROM ESCROW TO TERAZ FUND

Further to Nowvertical Group Inc.'s news release dated Oct. 20, 2026, the TSX Venture Exchange has cleared the personal information forms required in connection with the subscription by Teraz Fund for units (as defined below) in the first tranche of the company's private placement offering for gross proceeds of $15.1-million. Accordingly, the 15,833,334 units subscribed for by Teraz that closed in escrow, together with the related subscription proceeds of $1.9-million, have been released from escrow.

Under the first tranche, Teraz subscribed for 25 million units at a price of 12 cents per unit for gross proceeds of $3-million. Each unit of the company consists of one Class A subordinate voting share in the capital of the company and one-half of one common share purchase warrant. Each unit warrant entitles the holder to acquire one common share at an exercise price of 20 cents until Oct. 20, 2028.

In connection with the release of the escrowed units, and consistent with the terms of the offering, the company will pay to Clarus Securities Inc. a cash commission of $95,000, being 5 per cent of the gross proceeds from the esrowed units and will issue to the agent 1,108,333 broker warrants, being 7 per cent of the number of escrowed units. Each broker warrant entitles the agent to acquire one unit at an exercise price of 12 cents per unit until Oct. 20, 2028.
