The company has agreed to pay $50,000 (U.S.) and to issue, subject to the approval of the Canadian Securities Exchange (the CSE), an aggregate of one million common shares in the capital of the company, in consideration for the purchase and cancellation of the 2-per-cent net smelter return royalty and all other payment obligations to the vendor.
The shares to be issued by the company under the NSR purchase agreement will be subject to a hold period of four months and one day from the date of issuance in accordance with applicable securities legislation and CSE policy. No finders' fees are payable in connection with the transaction.
