The TSX Venture Exchange has accepted for filing documentation with respect to an arm's-length purchase agreement between Noble Mineral Exploration Inc. and Canada Nickel Company Inc. Pursuant to the agreement, the company will acquire a 100-per-cent interest in four patented properties and 98 mining claims comprising the Lucas gold project, located in Lucas, Tully and Duff townships near Timmins, Ont.
As consideration for the property, the company will issue to the vendor five million common shares at a deemed price of six cents per share and 2.5 million share purchase warrants of the company. Each such warrant is exercisable at 15 cents per share for a two-year period from closing.
Additionally, the vendor will retain a back-in right to purchase a 25-per-cent interest in the property upon paying the company four times the exploration expenditures incurred on or after a trigger date that expires on the earlier of: (i) 36 months from the closing; (ii) at least $5-million of exploration expenditures have been incurred by the company on the property; and (iii) the company enters into a binding agreement for the sale of the property or a change of control occurs with respect to the company (as more particularly defined in the agreement). The exercise of such a right will be subject to prior TSX Venture Exchange approval at the time it is triggered.
