The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Nov. 24, 2023.

Number of shares:  9,616,666 flow-through common shares

Purchase price:  7.5 cents per flow-through common share

Warrants:  4,808,333 common share purchase warrants to purchase 4,808,333 common shares

Warrant exercise price:  12.5 cents per common share for a period of two years

Number of placees:  six placees

Finder's fee:  $49,087.50 cash and 654,500 warrants

Finder's warrant terms:  Each finder's warrant entitles the holder to purchase one common share at a price of 7.5 cents for a period of two years from the date of issuance.

The company issued news releases on Dec. 7, 2023, Dec. 22, 2023, and Jan. 2, 2024, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
