The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Nov. 20, 2023.

Number of shares:  8,333,333 common shares

Purchase price:  six cents per common share

Warrants:  8,333,333 common share purchase warrants to purchase 8,333,333 common shares

Warrant exercise price:  10 cents per common share for a period of 24 months

Number of placees:  14 placees

Total existing insider involvement:  4,283,333 common shares (three insiders)

Finder's fee:  nil

The company issued a news release on Dec. 22, 2023, confirming the closing of the private placement.

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
