MICHAEL A. PARKER ACQUIRES SECURITIES OF NEVADA KING GOLD CORP.

Michael A. Parker (the acquirer) has indirectly acquired ownership and control of 12 million common shares (the subject shares) of Nevada King Gold Corp., effective March 22, 2024.

The subject shares were acquired pursuant to a private placement transaction and represent approximately 3.5 per cent of all issued and outstanding common shares of the company as of March 22, 2024, resulting in a corresponding change to the aggregate percentage ownership of the company by the acquirer.

Immediately before the acquisition, the acquirer and his joint actors held an aggregate of 31,550,436 shares, representing approximately 10.01 per cent of the issued and outstanding shares, of which the acquirer held 763,372 shares representing approximately 0.2 per cent of the issued and outstanding shares, and his joint actors held 30,787,064 shares representing approximately 9.8 per cent of the issued and outstanding shares. Immediately following the acquisition, the acquirer and his joint actors held 43,550,436 shares representing approximately 12.7 per cent of the issued and outstanding shares at March 22, 2024, of which the acquirer held 763,372 shares representing approximately 0.2 per cent of the issued and outstanding shares, and his joint actors held 42,787,064 shares representing approximately 12.5 per cent of the issued and outstanding shares immediately following the completion of the acquisition.

The subject shares were acquired for an aggregate purchase price of $4.2-million in a private placement and not through the facilities of any stock exchange. The holdings of securities of the company by the acquirer are managed for investment purposes, and the acquirer and/or his joint actors could increase or decrease their respective investments in the company at any time, or continue to maintain their current investment position, depending on market conditions or any other relevant factor.
