NEXPOINT HOSPITALITY TRUST ANNOUNCES ELECTION OF TRUSTEES

Nexpoint Hospitality Trust has released the results of its 2023 annual and special meeting of unitholders. All of the nominees listed in the management information circular prepared in connection with the meeting were elected as trustees. Detailed results of the vote for the election of trustees held at the meeting are set out in the attached table.

In addition, resolutions were passed by a majority of disinterested votes represented at the meeting authorizing and approving: (i) the adoption of an amended and restated deferred unit plan for Nexpoint's non-employee trustees; (ii) the conditional grant of 1,295,668 deferred units to Nexpoint's independent trustees on Sept. 11, 2023; and (iii) certain amendments to the convertible promissory notes issued by Nexpoint between June, 2021, and September, 2022. Frazier & Deeter LLC was also reappointed as Nexpoint's auditor to hold office until the next annual meeting of unitholders. Nexpoint's report of voting results can be found on SEDAR+.
