The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced May 30, 2023.

Number of shares:  85,343,768 common shares

Purchase price:  6.5 cents per common share

Warrants:  85,343,768 share purchase warrants to purchase 85,343,768 shares

Warrant exercise price:  nine cents for a period of three years

Number of placees:  130 placees

Total pro group involvement:  200,000 (one placee)

Finder's fee:  $112,134.75 cash, 140,000 shares and 1,865,150 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of nine cents for period of three years from the date of issuance.
