NDATALYZE CORP. ANNOUNCES TERMINATION OF PROPOSED REVERSE TAKEOVER WITH PRISM DIVERSIFIED LTD. AND PROVIDES EPITOME UPDATE

Ndatalyze Corp.'s proposed reverse takeover transaction (RTO) with Prism Diversified Ltd. did not close on or before the Oct. 31, 2026, completion deadline under the business combination agreement dated May 15, 2026, among the company, Prism and 2273670 Alberta Ltd., as amended Sept. 1, 2026, and no extension beyond Oct. 31, 2026, was agreed to by the parties. The company has delivered notice of termination of the business combination agreement to Prism in accordance with its terms and reserves all of its rights thereunder.

As the escrow release conditions under the concurrent subscription receipt financing were not satisfied prior to the escrow release deadline, the subscription proceeds held in escrow by Odyssey Trust Company will be returned to subscribers and the subscription receipts will be cancelled, in each case in accordance with the terms of the subscription receipt agreement. No shares of the company will be issued under the financing.

The spinout transaction and name change approved by shareholders at the company's special meeting held on Oct. 2, 2026, were conditional on completion of the RTO and will not be implemented at this time.

Trading in the company's common shares has been halted since the announcement of the proposed RTO. The company will be applying to the CSE for reinstatement of trading, which remains subject to the review and approval of the CSE.

Jim Durward, president, states: "It's unfortunate that the RTO did not close as set out in the business combination agreement and first amendment. This said, Epitome has always been the company's main asset and we intend to move forward with its commercialization, whether private or public. To this end, we will be presenting Epitome at Hockey Inspires Leadership Coach Day in Calgary on Nov. 9, 2026."
