NORTHCLIFF CLOSES $700,000 PRIVATE PLACEMENT FINANCING

Northcliff Resources Ltd., further to its press release dated Jan. 23, 2024, has closed a non-brokered private placement of 37,333,333 common shares of the company at a price of 1.875 cents per common share with the Todd Sisson (NZ) Ltd. for gross proceeds to the company of $700,000. Proceeds of the private placement will be used to finance the company's share of expenditures related to the Sisson project, and for working capital and general corporate purposes.
