Number of shares:  33,333,332 common shares

Purchase price:  15 cents per share

Warrants:  16,666,666 share purchase warrants to purchase 16,666,666 shares

Warrant exercise price:  20 cents for a one-year period from the date of issuance

Number of placees:  69 placees

Total existing insider involvement:  1,583,398 common shares (eight insiders)

Total pro group involvement:  1,367,000 common shares (two pro groups)

Finder's fee:  $25,125
