NOBEL CLOSES NON-BROKERED PRIVATE PLACEMENT OFFERING
Nobel Resources Corp. has closed, on a fully subscribed basis, its previously announced non-brokered private placement offering of 4,166,667 units at a price of six cents per unit for gross proceeds of $250,000.
Each unit consists of one common share of the company and one-half of one common share purchase warrant. Each warrant entitles the holder to purchase one share at a price of 7.5 cents until Jan. 29, 2028. The securities issued pursuant to the offering are subject to a statutory hold period of four months and one day.
The net proceeds of the offering will be used by the company to continue the exploration work on its Chilean mineral properties as well as general corporate and working capital purposes.
In connection with the offering, the company paid cash finders' fees of $6,300 and issued 105,000 finders' warrants to eligible finders. Each finder warrant entitles the holder to acquire one common share at a price of six cents for a period of 24 months following the date hereof. The offering remains subject to the final approval of the TSX Venture Exchange.
Nobel also announces that it has issued 3.2 million stock options to purchase common shares of the company to certain officers and directors pursuant to the company's stock option plan. Such options are exercisable into common shares of the company at an exercise price of 15 cents per common share for a period of three years from the date of grant.
In addition, the company has issued 750,000 restricted share units (RSUs) to certain directors and officers of the company in accordance with the company's restricted share unit and deferred unit plan. The RSUs will vest annually in equal instalments over a three-year period beginning on the one-year anniversary of the grant date. The grant of the options and the RSUs is subject to the approval of the TSX Venture Exchange.
