---> Partnership ("BTGP"), pursuant to which the Company agreed to acquire (the "Acquisition") certain assets of BTGP, has
---> terminated in accordance with its terms. 

In connection with the Acquisition, no proceeds were advanced to BTGP or any of its related parties and the Company di
--->d not assume any contingent liabilities or guarantees.  

The Company's shares are listed on the NEX board of the TSX Venture Exchange ("Exchange") but have not traded since th
--->e announcement of the proposed BTGP transaction.  North Bluff intends to investigate and pursue other strategic opport
