North Atlantic Titanium arranges $1.5-million financing

2026-10-14 17:54 ET - News Release

Mr. Dwayne Yaretz reports

NORTH ATLANTIC TITANIUM ANNOUNCES $1.5 MILLION NON-BROKERED PRIVATE PLACEMENT OFFERING

North Atlantic Titanium Corp. has arranged a non-brokered private placement offering of securities of the company for aggregate gross proceeds of up $1.5-million in a combination of:

  1. Units of the company at a price of seven cents per unit. Each unit will consist of one common share of the company and one-half of one common share purchase warrant;
  2. Flow-through (FT) units of the company at a price of nine cent per FT unit. Each FT unit will consist of one common share that will qualify as flow-through shares within the meaning of Subsection 66(15) of the Income Tax Act (Canada) and one-half of one warrant.

Each warrant shall entitle the holder thereof to purchase one common share at an exercise price of 12 cents per warrant share at any time up to 24 months following the closing of the offering.

The net proceeds from the sale of units will be used to finance an option payment for the Everett titanium project in Quebec, working capital and general corporate purposes. The gross proceeds from the sale of FT units will be used to commence stage 1 drilling at the Everett project.

The entire gross proceeds from the issue and sale of the FT units will be used for Canadian exploration expenses (CEE) as flow-through critical mineral mining expenditures as such term is defined in the tax act, which will be incurred on or before Dec. 31, 2027, and renounced with an effective date no later than Dec. 31, 2026, to the initial purchasers of FT units, and if the qualifying expenditures are reduced by the Canada Revenue Agency, the company will indemnify each FT unit subscriber for any additional taxes payable by such subscribers as a result of the company's failure to fully renounce the qualifying expenditures as agreed.

The offering is anticipated to close on or about the week of Nov. 16, 2026, or such other date as the company may determine. The closing is subject to certain conditions, including, but not limited to, the receipt of all necessary regulatory and other approvals, including the approval of the Canadian Securities Exchange.

The company will pay finders' fees to certain eligible finders, consisting of a cash fee equal to 8.0 per cent of the aggregate gross proceeds of subscriptions facilitated by such finders, and issue such number of finders' warrants that is equal to up to 8.0 per cent of the number of offered securities sourced by the finders, with each finder's warrant entitling the holder thereof to purchase one common share at an exercise price of seven cents for a period of 24 months following the closing. All securities issued pursuant to the offering will be subject to a hold period of four months and one day from the date of closing. The offering and payment of finders' fees are both subject to approval by the exchange.
