PANGENOMIC HEALTH ANNOUNCES NON-BROKERED PRIVATE PLACEMENT OF UP TO $2,000,000

Pangenomic Health Inc. has arranged a private placement offering of up to four million units of the company at a price of 50 cents per unit for gross proceeds and settlement of outstanding indebtedness of up to $2-million.

Each unit will consist of one Class A common share in the capital of the company and one share purchase warrant, with each warrant being exercisable for one additional common share at a price of 75 cents per warrant share for a period of two years from the date of issuance, subject to acceleration.

It is anticipated that the net proceeds of the offering will be utilized for general working capital purposes and to settle outstanding indebtedness of the company, including indebtedness owed to certain directors and officers of the company.

A regulatory hold period of four month plus one day will apply to all securities issued in connection with the offering. Pursuant to the policies of the Canadian Securities Exchange, the offering will close no earlier than five business days from the date of this announcement.

Certain directors and officers of the company are expected to participate in the offering, and any such participation would be considered a related-party transaction as defined under Multilateral Instrument 61-101 (Protection of Minority Security Holders in Special Transactions). The company expects to be exempt from the requirement to obtain a formal valuation and minority shareholder approval in connection with the insiders' participation in the offering in reliance of sections 5.5(a) and 5.7(a) of MI 61-101, respectively, on the basis that the insiders' participation in the offering is not expected to exceed 25 per cent of the fair market value of the company's market capitalization.
