The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on April 24, 2023.

Number of shares:  13,066,500 flow-through shares

Purchase price:  eight cents per share

Warrants:  6,533,250 share purchase warrants to purchase 6,533,250 shares

Warrant exercise price:  12 cents for a two-year period

Number of shares:  22,976,999 shares

Purchase price:  six cents per share

Warrants:  22,976,999 share purchase warrants to purchase 22,976,999 shares

Warrant exercise price:  10 cents for a two-year period

Number of placees:  51 placees

Total existing insider involvement:  933,000 (two insiders)

Total pro group involvement:  1,685,750 (five pro groups)

Finder's fee:  $77,254.88 cash and 676,620 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 10 cents for period of two years from the date of issuance.

The company issued a news release on May 18, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
