The TSX Venture Exchange has accepted for filing an agreement dated Aug. 11, 2025, effective Sept. 30, 2025, and an amended agreement dated Oct. 13, 2025, between New Age Metals Inc. and arm's-length parties. Pursuant to the terms of the agreement, the company may acquire a 100-per-cent interest in 114 mining claims and one patented mining claim in the Witch Bay project, Kenora region, Ontario, Canada.

By way of consideration, the company will make a staged cash payment of $300,000 and issue a maximum of 2,020,202 shares to the vendors, totalling $500,000 value, priced at a 10-day trading average at the time of issuance, subject to a minimum deemed price of 24.75 cents per share. The company must incur $700,000 exploration or work commitments in stages.

In addition, the agreement provides for contingent milestone payments totalling up to $500,000 value, payable upon the achievement of specific milestones. These milestones can be satisfied in cash or common shares of the company. The issuance of shares pursuant to the contingent milestone payments are subject to prior written approval of the exchange.

The vendors will retain a 2-per-cent net smelter return royalty, of which the company has the right to repurchase a 1-per-cent royalty for $1-million.
