MTL CANNABIS OBTAINS FINAL COURT APPROVAL FOR PLAN OF ARRANGEMENT WITH CANOPY GROWTH

The Supreme Court of British Columbia has issued a final order approving the previously announced plan of arrangement under the Canada Business Corporations Act whereby, among other things, Canopy Growth Corp. will acquire all of the issued and outstanding common shares of MTL Cannabis Corp.

The closing of the arrangement, which remains subject to customary closing conditions, including third party approvals, is expected to occur before the end of March, 2026.
