Further to its bulletin dated March 17, 2026, the Toronto Stock Exchange reports that the common shares of Metatek-Group Ltd. have begun trading on an if, as and when-issued basis, effective at 9:30 a.m. Toronto time on March 19, 2026, under the symbol MTEK and with Cusip No. 59140H 10 9.

According to the TSX, eight million shares are being offered to the public at a price of $5 per share, pursuant to an initial public offering that is scheduled to close before the open on March 25, 2026. The offering will comprise a treasury offering of seven million shares and a secondary offering of one million shares by the selling shareholders. The selling shareholders have also granted the underwriters the overallotment option to purchase up to an additional 1.2 million shares at the offering price.

Subject to the closing of the offering on March 25, 2026, all trades in the company's shares in the if, as and when-issued market on March 19, 2026, March 20, 2026, March 23, 2026, and March 24, 2026, will be for special settlement on March 25, 2026, and will appear on the settlement report from CDS Clearing and Depository Services Inc.

Upon closing, the TSX will issue a bulletin to confirm: (i) the closing; and (ii) that the shares will no longer trade on an if, as and when-issued basis, but will trade thereafter on a regular settlement basis. If the offering does not close, all of the if, as and when-issued trades will be cancelled, no securities will be delivered, and no money will be owed by purchasers to sellers. Parties who are entitled to receive shares under the offering may sell such securities in the if, as and when-issued market without being subject to restrictions on short sales. Parties who are not entitled to receive shares under the offering must comply with the short sale rule in all respects for any sales they make in the if, as and when-issued market.
