--->, has acquired ownership of 12,000,000 Units of Millrock Resources Inc. (the "Issuer"), each Unit consisting of one co
--->mmon share in the capital of the Issurer and one share purchase warrant, each warrant entitling the purchase of one co
--->mmon share in the capital of the Issuer at a per share price of $0.07 for a period of two years following issuance of 
--->the warrants, and thereafter at a per share price of $0.10 for a further period of three years.  The common shares acq
--->uired represent approximately 6.15% of the Issuer's issued and outstanding common shares and assuming exercise of the 
--->warrants, a total of 24,000,000 common shares or approximately 11.59% of the Issuer's issued and outstanding common sh
--->ares on a post-conversion beneficial ownership basis.
The Units were acquired by cash subscription for investment purposes by Mr. Tognetti pursuant to a non-brokered privat
--->e placement offering by the Issuer.  Mr. Tognetti intends to evaluate these holdings and to increase or decrease the i
--->nvestment as circumstances warrant.
