Delist -- common shares

Effective at the close of business, Friday, May 5, 2023, the common shares of Millennial Precious Metals Corp. will be delisted from the TSX Venture Exchange at the request of the company.

Plan of arrangement

The delisting of Millennial Precious results from a plan of arrangement under the Business Corporations Act (British Columbia) involving the company and Integra Resources Corp., a TSX Venture Exchange-listed issuer. Under the arrangement, the company's shareholders received 0.23 of an Integra share for each company share held at a deemed price of 18 cents per share. Shareholders of the company approved the arrangement pursuant to a special resolution passed by shareholders of the company on April 26, 2023. The Supreme Court of British Columbia granted a final order in connection with the plan of arrangement on May 1, 2023.
