The TSX Venture Exchange has accepted for filing documentation pertaining to a purchase option agreement dated July 29, 2025, between the company's subsidiary, Mogotes Metals Chile SPA and Ingenieria e Inversiones Cerro Dorado Ltda., whereby the company as granted an option to acquire a 100-per-cent interest in mining concessions known as La Perla Uno a Diez, located in the municipality of Tierra Amarilla, province of Copiapo, Atacama region.

Under the terms of the agreement, the company will assume full ownership of the property upon: (i) paying an the aggregate amount of $200,000 (U.S.) in cash over a period of four years; (ii) issuing an aggregate of 411,764 common shares at a price of 20 cents per common share on or before July 25, 2025; (iii) issuing such number of common shares that is equal to an aggregate of $280,000 (U.S.) in equal instalments over a period of four years at a greater of (a) the closing price of the common shares on the exchange prior to the announcement of the corresponding payment, and (b) 20 cents per common share.
