The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Feb. 27, 2024.

Number of units:  26 million common shares

Purchase price:  five cents per share

Number of placees:  38 placees

Total existing insider involvement:  885,722 (one insider)

Total existing pro group involvement:  2.2 million (four pro groups)

Finder's fee:  $31,150 cash and 623,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one unit at the price of five cents per share for a period of two years from the date of issuance.

Pursuant to corporate finance Policy 4.1, Section 1.9(e), the company issued a news release on April 3, 2024, announcing the closing of the private placement.
