MERIDIAN MINING PLC RESULT OF RETAIL OFFER
On April 27, 2026, Meridian Mining PLC applied for admission of its ordinary shares to the equity shares (commercial companies) category of the official list of the Financial Conduct Authority and to trading on the Main Market for listed securities of the London Stock Exchange as well as an equity offering of new ordinary shares in conjunction with the retail offer.
The company is pleased to announce that the retail offer successfully completed and closed at 11:59 p.m. on April 30, 2026, and that it has conditionally raised approximately 2.5 million British pounds (approximately $3.4-million (U.S.)/$4.6-million (Canadian)) in the retail offer through the issue of 2,717,391 new ordinary shares at the issue price of 92.0 pence per ordinary share ($1.70 (Canadian) per ordinary share).
Following the close of the retail offer, the company has conditionally raised gross proceeds of approximately 25 million British pounds (approximately $33.6-million (U.S.)/$46.3-million (Canadian)) through the fundraising. The company will therefore be required to issue and allot a total of 27,173,912 new ordinary shares to satisfy the fundraising.
Admission and total voting rights
Application will be made to the London Stock Exchange for the 485,513,514 ordinary shares to be admitted to the equity shares (commercial companies) category of the official list of the FCA and admitted to trading on the Main Market for listed securities of the London Stock Exchange. Admission is expected to take place and dealings in the ordinary shares are expected to commence at 8 a.m. on May 1, 2026, at which time it is also expected that the ordinary shares will be enabled for settlement in CREST.
Immediately following admission, the issued share capital of the company is expected to comprise 485,513,514 ordinary shares. Each ordinary share has one voting right and no ordinary shares are held in treasury. From admission, this figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the company under the FCA's disclosure guidance and transparency rules.
