The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement.

Number of shares:  8.23 million flow-through shares

Purchase price:  11 cents per flow-through share

Number of placee:  three placees

Finder's fee:  $63,371 cash and 576,099 warrants

Finder's warrant terms:  576,099 warrants, each entitling the holder to purchase one common share at the price of 15 cents until Dec. 22, 2025

Pursuant to corporate finance Policy 4.1, Section 1.9(e), the company issued a news release on Dec. 22, 2023, announcing the closing of the private placement.
