Metamaterial Exchangeco Inc. has consolidated its issued and outstanding common shares on the basis of one postconsolidated common share for every 100 preconsolidated common shares.

The consolidation is being implemented in connection with a consolidation of the common shares of Meta Materials Inc. (symbol MMAT on the Nasdaq Stock Market), the parent company of the company, which is being effected on the basis of one postconsolidation common share for every 100 preconsolidation common shares of Meta Materials, since the exchangeable shares are exchangeable for common shares of Meta Materials on a 1:1 basis. The consolidation will affect all holders of exchangeable shares uniformly and will not affect any holder's ownership percentage of the company's exchangeable shares.

As a result, the outstanding shares of the company will be reduced to approximately 368,118 common shares.

The name and symbol will not change.

Please note that all open orders will be cancelled at the close of business on Jan. 26, 2024. Dealers are reminded to re-enter their orders taking into account the share consolidation.
