The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Dec. 8, 2020.

Convertible debenture:  $1.15-million

Initial conversion price:  five cents per unit in the first year and 10 cents in the second, third, fourth and fifth years

Term of maturity:  five years

Interest rate:  8.75 per cent per annum, due semi-annually in each year following the closing date

Warrants:  23 million share purchase warrants to purchase 23 million shares

Initial exercise price:  7.5 cents

Term to expiry:  five years

Number of placees:  18 placees

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
